End User License Agreement

This copy of the digital product and any accompanying files, documentation, or materials (collectively, the "Product") is licensed, not sold. The Product is protected by copyright laws and treaties, as well as laws and treaties related to other forms of intellectual property. Element Supply Company, LLC, or its subsidiaries, affiliates, and suppliers (collectively, "ESC") own all intellectual property rights in the Product.

By downloading, installing, or using the Product, you ("the Licensee," "you," or "your") agree to be bound by the terms of this End User License Agreement ("Agreement"). If you do not agree to these terms, you may not download, install, or use the Product.

License Grant and Permitted Use

Subject to the terms of this Agreement, ESC grants you a non-exclusive, non-transferable license to download, install (if applicable), and use the Product on any number of devices, provided that:

  1. The Product is used only by the individual or entity to whom the license is assigned ("the Licensee").
  2. The Product is not used simultaneously by multiple individuals under a single license.
  3. The Product is not shared, loaned, sub-licensed, or otherwise redistributed except as permitted in this Agreement.

For multi-seat or team licenses, a separate license must be obtained for each user.

Permitted and Prohibited Uses

1. Personal and Commercial Use

The Product may be used for both personal and commercial projects, provided that such use does not violate any other terms outlined in this Agreement.

2. Restrictions on Redistribution, Modification, and Resale

The Product is licensed for use only and may not be redistributed, modified, or resold. You may not:

  1. Sell, sublicense, rent, lease, or distribute the Product as a standalone item or as part of a monetized bundle, collection, or archive.
  2. Modify, repackage, or create derivative works of the Product for redistribution.
  3. Claim ownership, authorship, or exclusive rights over the Product.
  4. Include the Product in any repository or package that is sold, monetized, or publicly distributed.

You may use the Product in commercial projects as long as it is incorporated into a larger work and is not the primary value of the final product. However, you may not redistribute, sell, or profit from the Product itself, whether in its original or modified form.

Limitation of Liability

By downloading and using the Product, you accept full liability and sole responsibility for its use. ESC and its affiliates are not liable for:

  1. Any damages, losses, or other consequences resulting from the download, use, or inability to use the Product.
  2. Any indirect, incidental, special, or consequential damages arising from the Product’s use or performance.

Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Any unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent. Where applicable laws prohibit certain restrictions, such restrictions shall apply to the maximum extent permitted by law.
